About the role:
We are seeking a highly organized and knowledgeable “Company Secretary &
Compliance Officer” to join our team. The Company Secretary & Compliance
Officer will play a crucial role in ensuring the smooth functioning of the company's
corporate governance processes and compliance with legal and regulatory
requirements. The ideal candidate will possess excellent communication skills,
meticulous attention to detail, and the ability to work effectively in a fast-paced
environment.
A company secretary is a vital link between the company and its Board of
Directors, shareholders, government and regulatory authorities, and all other
stakeholders. He or She ensures that Board procedures are followed and
regularly reviewed and provides guidance to the Chairman and the Directors on
their responsibilities under various laws. The Position commands a high position
in the value chain and acts as a conscience keeper of the company.

They are a manufacturing Company operating in the Clothing Industry. Founded
in 1971, they have been a dominant player in the global innerwear industry,
leading the market in various segments across the Middle East, Africa, Canada,
New Zealand, and several European countries. They oversee the entire
manufacturing process. Their extensive dealer network of 550 and 110,000 retail
outlets in India alone, supported by six regional offices and a motivated sales
force, reflects our dedication to expanding our reach and market presence. The
company has also won awards for the years 2001, 2002, 2003-04, 2005, and
2007-08.

The work life of the will be:
A. Corporate Governance and Secretarial Services:
● Advising on good governance practices and compliance with Corporate
Governance norms as prescribed under various Corporate, Securities, and
Other Business Laws and regulations and guidelines.
● Assists in developing a corporate and social sustainability framework.
● Handles the promotion, formation, and incorporation of companies and
matters related therewith. Responsible for filing, and registering any
document including forms, returns, and applications by and on behalf of
the company as an authorized representative.
● Coordinate the board/general meetings and follow-up actions thereof
including preparing agendas, organizing Board meetings & other
committee meetings, preparing minutes & other secretarial work.
● Manages all tasks relating to Securities and their transfer and
transmission. 2 April 2021 Acts as the custodian of corporate records,
statutory books, and registers. Manages the Secretarial/Compliance Audit.
● Signing of Annual Return where necessary and responsible for other
declarations, attestations, and certifications under the Companies Act,2013
and relevant rules made thereunder.
● Coordinating with all Board members and keeping them updated with
company affairs. Keeping up to date with any regulatory or statutory
changes & policies that might affect the organization.
● Providing support to the board or other committees on specific projects.
● Coordination with share transfer Registrar & payment of dividends.
B. Corporate Laws Advisory and Representation Services:
● Advises on Compliance with legal and procedural aspects under various
corporate laws and acts particularly relating to the Securities and
Exchange Board of India (SEBI), Foreign Exchange, Consumer Protection,
Environment, Labour, Mergers and Acquisitions, Foreign Collaborations,
and JV, subsidiaries, Competition, etc.
● Will be responsible for representing the company and other connected
persons before various boards and forums including but not limited to the
Company Law Board, SEBI, Registrar of Companies, Ministry of Corporate
Affairs (MCA), Consumer Forums, and Other quasi-judicial bodies and
Tribunals as and when required.

C. Financial Markets Services
● Not immediately but possibly be involved in Public Issues, Listing, and
Securities Management depending on future Company Strategy.
● Responsible for compliance with rules and regulations in the securities
market.
● Acts as Advisor/consultant in the issue of shares, ESOP, and other
securities in India and abroad.
● Timely communication of the financial results to all stakeholders of the
company.
D. Other Duties:
● Participate and assist in Banking Services, Finance, and Accounting
Services, CS may not be capable of information Technology if required.
● Will also assist, participate, and partner with internal and external
stakeholders in areas of Corporate Social Responsibility.
● Communication with various stakeholders, like Shareholders, Government,
Regulators, Authorities, etc.
● Industrial and labor laws.
E. Relationships with Other’s Jobs:
● Works very closely with the Finance and Legal departments
● Frequent interaction with executive management (SBU heads, Production
Head, HR, IT), etc.

The applicant must have:
● Qualified and member of the Institute of Company Secretaries of India
(ACS). PostGraduation degree.
● A legal degree will be an advantage.
● A minimum of 5 years of progressive work experience is required and
overall leading the senior profile with understanding and Knowledge of the
Companies Act.
● Ability to interpret a wide variety of Job Roles and manage all Strategic
roles and responsibilities.

● Ability to define problems, collect data, establish facts, and draw valid
conclusions Process orientation; demonstrated ability to develop
repeatable processes or improve existing processes in and out.
● Ability to work with mathematical concepts such as probability and
statistical inference.
● Ability to apply concepts such as fractions, percentages, ratios, and
proportions to practical situations.
● Ability to speak effectively before groups of shareholders, Board members,
customers, or employees of the organization.
● Ability to write routine reports and correspondence. Ensuring appropriate
follow-ups and gearing up for any situation.
● Fluent in the Usage of Outlook, Word, Excel, and PowerPoint, Dashboard
to produce materials for internal and external meetings and conferences. .
● Open and collaborative style; must be comfortable working in an
environment where ideas are shared and challenged; Energy and
enthusiasm; candidates must find the word "fun" and enjoy being
accountable and willing to hold others accountable.


Commitments:
● Working culture: 5 days - Monday to Friday
● (For weekends, we work only on the last Saturday of the month)
● Location: Andheri East
● Full-time: 9 hrs Shift
● Reporting: Any time between 8:45 - 10:45 am
